1. Scope of Services

CleverTechy provides custom software development, IT consulting, application design, and related digital services. The exact scope of deliverables, timelines, and technical requirements will be defined in a master service agreement or specific project statement of work (SOW) signed by both parties prior to commencement.

2. Engagement Models & Billing

We offer flexible engagement models tailored to project needs. We currently operate under two primary structures:

• Fixed Price Projects: Best for clearly defined scopes. Payments are tied to predefined milestones.
• Hourly / Retainer Basis: Best for dynamic, ongoing, or agile development. Billing is calculated based on hours logged by our dedicated talent.

3. Commission & Referral Program

We actively welcome referrals from partners and individuals. If you bring a successful project to us on a commission/referral basis, our compensation structure is explicitly defined as:

• Fixed Project Referrals: You earn an introductory commission of 10% to 20% of the total closed project value, subject to the overall margin and size.
• Hourly Rate Referrals: You earn 10% of the hourly billings for the first 3 months of the engagement. This decreases to 5% for the subsequent 3 months (months 4-6). After 6 months of continuous engagement, the referral earnings end completely (0%).

4. Agency Collaboration

We are enthusiastically open to collaborating with fellow IT agencies, marketing firms, and design studios. We recognize that projects carry unique scopes and constraints. Therefore, we are perfectly willing to negotiate collaboration terms, white-label conditions, and referral percentages based on the exact project scope.

5. Intellectual Property Rights

Upon receipt of full payment for the delivered scope of work, all intellectual property rights, source code, and design assets explicitly created for your project are fully transferred to you. We do not claim ongoing ownership of your custom product unless explicitly built using proprietary, pre-existing licensed frameworks.

6. Limitation of Liability

While we strive to deliver bug-free, highly scalable software, in no event shall CleverTechy, nor its directors, employees, or agents, be liable for any indirect, incidental, special, consequential or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from your use of our services.

7. Termination

Either party may terminate the engagement with written notice as defined in the specific project SOW. Upon termination, the client shall pay for all work fully completed and securely delivered up to the date of termination.

8. Governing Law

These terms and conditions are governed by and construed in accordance with the laws of the applicable jurisdiction, and you irrevocably submit to the exclusive jurisdiction of the courts in that location.
